In an order on Thursday, the market regulator cited “special circumstances” to exempt the transaction from open-offer obligations. As per regulations, an entity that takes on more than 25% share or voting rights in a company is obligated to launch an open offer to execute the transaction. Earlier this week, the government converted part of its spectrum debt — amounting to `36,950 crore — into equity in Vi, raising it from 22.6% to 48.99%.
